Terms of Service

1. Agreement

These Terms & Conditions (“Agreement”) govern all services provided by Grodz LLC (“Company,” “we,” “us,” or “our”).

By purchasing or using our services, you (“Client”) agree to be bound by this Agreement.

2. Services

Grodz LLC provides digital services including:

Custom website development

Managed website hosting

Marketing automation services (“Growth System”)

SMS and email communication systems

Related digital consulting and implementation services

Scope of services is defined at the time of purchase.

3. Website Hosting & Managed Hosting

3.1 Hosting Plans

Clients may purchase:

Managed Hosting at $59/month; or

Year 1 Managed Hosting for $700, after which hosting renews automatically at $59/month.

3.2 Payment & Non-Payment

Payments are billed automatically.

If payment fails:

A 30-day grace period applies.

We may retry payment up to three (3) times.

After 30 days of non-payment, services may be suspended without further notice.

3.3 Suspension & Deletion

If payment remains outstanding beyond 30 days:

The website may be taken offline.

Website files, backups, and associated data may be permanently deleted.

Grodz LLC has no obligation to retain data beyond the grace period.

3.4 Backup Requests

If account is current:

Backup export fee: $99

If account is delinquent:

Backup export fee: $199

Backup delivery does not include proprietary templates or internal systems.

4. Website Ownership & Intellectual Property

Client retains ownership of:

Website content

Branding

Final delivered website build

Grodz LLC retains ownership of:

Proprietary templates

Automation frameworks

System structures

Backend methodologies

Transfer of website files may require an export or transition fee.

5. Hosting Disclaimer & Uptime

Hosting services rely on third-party infrastructure providers.

While we aim for high reliability, we do not guarantee uninterrupted or error-free hosting.

Grodz LLC is not liable for:

Hosting provider outages

Server downtime

Internet service interruptions

Third-party failures

Force majeure events

6. Growth System Services

6.1 Nature of Services

The Growth System includes implementation of marketing automation tools such as:

Lead capture systems

SMS automation

Email follow-up sequences

Review automation

CRM pipelines

Implementation may be rolled out progressively.

6.2 Customization Limits

Growth services include:

One (1) messaging or workflow adjustment per calendar month.

Additional customization may require additional fees.

6.3 No Performance Guarantees

Client acknowledges:

Marketing outcomes depend on numerous variables outside of our control.

Grodz LLC does not guarantee:

Revenue increases

Lead generation volume

Advertising results

Conversion rates

Return on investment

7. Advertising & Third-Party Platforms

Grodz LLC is not responsible for:

Ad spend performance

Platform suspensions

Changes to ad platform algorithms

Third-party compliance issues

8. Setup Fees

All setup fees are non-refundable once work has commenced.

If Client cancels during onboarding:

Setup fees remain non-refundable.

Any partially completed work remains property of Grodz LLC unless otherwise agreed.

9. SMS & Messaging Compliance

Client acknowledges that SMS messaging must comply with applicable laws and carrier regulations.

Client is responsible for:

Lawful opt-in collection

Compliance with A2P 10DLC regulations

Lawful use of contact data

Grodz LLC is not liable for Client misuse of messaging systems.

Client agrees to indemnify and hold Grodz LLC harmless from claims arising from unlawful messaging practices.

Recipients may opt out by replying STOP.

10. Payments & Refund Policy

All payments are final.

Fees are non-refundable once services have commenced.

Subscription services may be canceled at any time; however, no prorated refunds will be issued.

11. Chargebacks

If Client initiates a chargeback:

Services may be immediately suspended.

Client agrees to reimburse Grodz LLC for all chargeback fees and associated costs.

12. Limitation of Liability

To the fullest extent permitted by law:

Grodz LLC’s total liability shall not exceed the total amount paid by Client in the three (3) months preceding the claim.

We are not liable for:

Lost profits

Business interruption

Data loss

Indirect or consequential damages

13. Termination

13.1 Client Termination

Clients may cancel monthly services at any time.

Services will cease upon termination.

Website files may be deleted after 30 days.

13.2 Company Termination

Grodz LLC reserves the right to terminate service at its discretion, including but not limited to:

Non-payment

Abusive conduct

Violation of laws

Excessive or unreasonable demands

No refunds will be issued upon termination.

14. Portfolio Use

Unless otherwise requested in writing, Grodz LLC may display Client projects as part of its portfolio and marketing materials.

15. Governing Law & Venue

This Agreement shall be governed by the laws of the State of Texas.

Any disputes shall be resolved exclusively in courts located within Texas.

16. Modifications

Grodz LLC reserves the right to update these Terms at any time.

Continued use of services constitutes acceptance of updated terms.
