These Terms of Service (“Terms”) govern access to and use of services provided by Grodz LLC (“Grodz Systems,” “Company,” “we,” “our,” or “us”).

By purchasing, accessing, or using our services, you (“Client,” “you,” or “your”) agree to be bound by these Terms.

1. Services

Grodz Systems provides digital services which may include website development, managed hosting, CRM implementation, automation systems, AI solutions, SMS and email communication systems, consulting, and related implementation services.

Specific deliverables, timelines, pricing, subscription terms, and scope of work may be governed by separate proposals, agreements, invoices, order forms, or statements of work. Where separate agreements exist, those documents control.

2. Hosting & Managed Services

Where hosting or ongoing service plans are purchased, services are provided on a subscription basis unless otherwise agreed in writing.

Clients are responsible for maintaining active payment methods and timely payment obligations.

If payment obligations are not satisfied, Grodz LLC may suspend access to hosted services, websites, automations, communications infrastructure, or related deliverables.

Following suspension or termination, Grodz LLC may delete files, backups, configurations, and associated data after a commercially reasonable retention period and is under no obligation to maintain or restore deleted content.

Website exports, migrations, backups, and transition assistance may be subject to separate service fees.

3. Ownership & Intellectual Property

Clients retain ownership of their logos, branding, content, and final deliverables expressly transferred under the applicable agreement.

Grodz LLC retains ownership of all proprietary systems, templates, methodologies, frameworks, workflows, automation architecture, software components, implementation processes, and internal intellectual property used to deliver services.

Transfer of assets, environments, or website files may require transition services and associated fees.

4. Payments, Billing & Refunds

Fees, payment schedules, and subscription terms are governed by applicable agreements.

Unless otherwise stated in writing:

Setup and implementation fees become non-refundable once work has commenced.

Subscription fees are non-refundable.

Cancellation does not create entitlement to prorated refunds.

Outstanding balances remain payable after termination.

If a chargeback or payment dispute is initiated, Grodz LLC may suspend services immediately and pursue recovery of associated fees and costs.

5. Marketing, Automation & Growth Services

Certain services may involve implementation of websites, automation workflows, CRM systems, AI assistants, messaging systems, review systems, lead capture processes, or growth-related infrastructure.

Deliverables may be released progressively and may evolve over time.

Reasonable usage limitations, support boundaries, implementation limits, and customization limits may apply based on service tier or agreement.

Business outcomes depend on variables outside our control.

Grodz LLC makes no guarantee regarding:

revenue growth

lead volume

conversion rates

advertising performance

customer acquisition

ROI

business results

6. Messaging & Compliance

Clients remain solely responsible for ensuring lawful communication with their customers and contacts.

Where messaging systems are implemented, Clients agree to obtain all required consents and comply with applicable laws, carrier requirements, platform policies, and messaging regulations, including A2P requirements where applicable.

Grodz LLC does not assume responsibility for unlawful use of messaging systems, imported data, contact lists, or customer communications.

Recipients may opt out of SMS communications by replying STOP where supported.

Client agrees to defend, indemnify, and hold Grodz LLC harmless from claims arising from unlawful communications, regulatory violations, or misuse of communication systems.

7. Third-Party Services

Services may rely on third-party providers including hosting, CRM, communications, analytics, advertising, automation, and infrastructure providers.

Grodz LLC is not responsible for interruptions, account restrictions, outages, policy changes, suspensions, pricing changes, algorithm changes, or failures caused by third parties.

8. Availability & Warranty Disclaimer

Services are provided on an “as available” and “as is” basis.

While we strive to maintain reliable systems and service quality, uninterrupted operation, uptime, performance, and availability cannot be guaranteed.

9. AI & Automation Disclaimer

Some services may include AI-generated outputs, automation workflows, or chatbot functionality.

Clients remain responsible for reviewing and approving outputs before business use.

Grodz LLC does not guarantee accuracy, completeness, legal compliance, or business outcomes from automated systems.

10. Limitation of Liability

To the fullest extent permitted by law, Grodz LLC shall not be liable for indirect, incidental, consequential, punitive, or special damages.

This includes, without limitation:

lost profits

business interruption

loss of goodwill

advertising losses

data loss

operational disruption

Total liability shall not exceed amounts paid to Grodz LLC during the three (3) months immediately preceding the claim.

11. Termination

Either party may terminate services subject to applicable agreements.

Grodz LLC reserves the right to suspend or terminate services for reasons including non-payment, abusive conduct, unlawful activity, unreasonable usage, operational risk, or violation of these Terms.

No refunds are required following termination unless otherwise agreed.

12. Portfolio Rights

Unless otherwise agreed in writing, Grodz LLC may reference completed projects, client logos, public work, and general project outcomes for portfolio, marketing, and business development purposes.

13. Governing Law

These Terms are governed by the laws of the State of Texas.

Any dispute arising from these Terms shall be resolved exclusively in courts located in Montgomery County, Texas.

14. Updates

Grodz LLC may modify these Terms periodically.

Continued use of services following publication of updated Terms constitutes acceptance of revised Terms.
